摘要：近年来，商业贿赂在一些行业和领域蔓延，已经成为严重影响经济社会生活的一大公害，几乎存在于每个行业、泛滥于市场的各个角落,甚至成了经济领域交易的“潜规则”,严重破坏了公平竞争的社会主义市场经济秩序,由此衍生出大量腐败,严重影响了政府的廉洁性和公信力。但我国目前对商业贿赂的法律规制还存在很大缺陷。因此,必须加快建立和完善适合我国国情的诚信管理法律制度,实施企业诚信守法提醒制、警示制、公示制,构建社会信用体系和防止商业贿赂的法律体系。本文在这里从刑事、行政、民事等方面对我国反商业贿赂的立法缺陷作一简要分析，并提出了一些完善相关立法的建议。

Abstract: In recent years, commercial bribery in some industries and areas of spread, has become a serious impact on economic and social life of a major public hazard exists in almost every industry, spread to every corner of the market, and even became the economic transactions "hidden rules "This has seriously undermined fair competition in the socialist market economic order, thus derived from a large number of corruption has seriously affected the government''s integrity and credibility. But China''s current laws regulating commercial bribery are still significant shortcomings. Therefore, we must speed up the establishment and improvement of management suited to China''s national conditions and the integrity of the legal system, law-abiding faith to remind the implementation of the enterprise system, warning system, the publicity system, building a social credit system and to prevent commercial bribery legal system.
